Please read these Terms of Service carefully. By accessing, browsing, or using this website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, including the jury trial waiver in Section 11. If you do not agree to these Terms, do not access or use the Site.
1. Purpose and Scope
These Terms of Service ("Terms") govern your access to and use of the website, online platforms, and any related digital properties (collectively, the "Site") operated by Digital eSource ("Digital eSource," "we," "us," or "our").
These Terms apply solely to website visitors and general users of the Site. Any paid website design, search engine optimization, digital marketing, social media marketing, pay-per-click advertising, bookkeeping, consulting, or other professional services are governed by separate written agreements between Digital eSource and the applicable client. In the event of any conflict between these Terms and a separate services agreement, the services agreement shall control with respect to the subject matter of that agreement.
2. Informational Use Only; No Professional Guarantees
The content and information provided on the Site are for general informational purposes only. Digital eSource makes no representations, warranties, or guarantees regarding search engine rankings, website traffic, leads, conversions, revenue, business performance, or any particular outcome.
Nothing on the Site constitutes a guarantee, promise, or actionable advertising claim. Use of the Site does not create a client, customer, or contractual relationship with Digital eSource.
You acknowledge that search engine algorithms, advertising platform policies, and digital marketing outcomes are controlled by third parties and are subject to change without notice.
3. Intellectual Property Rights
All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video, data, and software, is the property of Digital eSource or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.
No content from the Site may be copied, reproduced, modified, distributed, transmitted, displayed, or used for commercial purposes without prior written consent from Digital eSource.
4. User Conduct
You agree to use the Site only for lawful purposes and in a manner that does not violate any applicable law or regulation. You agree not to:
• Attempt to gain unauthorized access to the Site or its underlying systems;
• Interfere with or disrupt the operation or security of the Site;
• Transmit malicious code, viruses, or harmful material;
• Use the Site in any manner that could damage, disable, or impair Digital eSource or third parties; or
• Scrape, harvest, or collect data from the Site through automated means without prior written authorization.
5. Disclaimer of Warranties
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL ESOURCE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF CONTENT. DIGITAL ESOURCE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
6. Third-Party Links and Content
The Site may contain links to third-party websites or resources. Digital eSource does not control and is not responsible for the content, policies, or practices of any third-party sites. Your interactions with third-party websites are solely between you and the applicable third party. We encourage you to review the terms and privacy policies of any third-party sites you visit.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGITAL ESOURCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR INTERRUPTION OF BUSINESS, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF DIGITAL ESOURCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Digital eSource's total aggregate liability for any and all claims arising out of or relating to the Site or these Terms shall not exceed one hundred dollars ($100.00), which the parties agree represents a reasonable estimate of the value of free access to the Site. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, Digital eSource's liability shall be limited to the maximum extent permitted by law.
8. Indemnification
You agree to indemnify, defend, and hold harmless Digital eSource, its owners, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site or your violation of these Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles.
10. Dispute Resolution and Venue
Pre-Suit Notice. Before initiating any legal action arising from these Terms or use of the Site, the party asserting a claim shall deliver written notice to the other party describing the claim in reasonable detail. The parties shall have thirty (30) calendar days from delivery of such notice to attempt in good faith to resolve the dispute before commencing any legal proceeding.
Venue. Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming, except as provided in Section 12 (Small-Claims Carve-Out).
You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on improper venue or forum non conveniens.
Contracted Clients. If you are a client of Digital eSource subject to a separate signed services agreement, the dispute resolution provisions of that agreement — including any mandatory arbitration clause — govern claims arising from or related to those services. These Terms govern solely claims arising from general website access and use by visitors not subject to a services agreement.
11. Waiver of Jury Trial
BY USING THIS SITE AND AGREEING TO THESE TERMS, YOU KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE. YOU ACKNOWLEDGE THAT THIS WAIVER IS A MATERIAL TERM OF YOUR PERMISSION TO USE THE SITE AND THAT YOU HAVE HAD AN OPPORTUNITY TO SEEK LEGAL COUNSEL REGARDING THIS WAIVER.
12. Small-Claims Carve-Out
Notwithstanding Section 10, Digital eSource may, at its sole discretion, bring an action for limited monetary relief in any small-claims court or equivalent limited-jurisdiction court located in any jurisdiction where the user resides or conducts business. This carve-out applies solely to limited collection claims and does not apply to substantive disputes regarding liability or interpretation of these Terms.
13. Termination
Digital eSource reserves the right to suspend or terminate access to the Site at any time, with or without notice, for any reason or no reason, including for violations of these Terms. Termination does not affect any rights or obligations that accrued prior to termination.
14. Amendments
We reserve the right to modify these Terms at any time. When material changes are made, we will revise the "Last Updated" date and post a notice on the Site for at least thirty (30) days. Your continued use of the Site following the notice period constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Site.
15. Severability and Entire Agreement
These Terms constitute the entire agreement between you and Digital eSource regarding use of the Site and supersede all prior or contemporaneous communications regarding the same subject matter. These Terms do not govern any paid professional services, which are subject to separate written agreements.
If any provision of these Terms is held unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Digital eSource is committed to providing a website that is reasonably accessible to users with disabilities. Nothing in this Section creates any warranty, guarantee, or legal obligation beyond those required by applicable law.
17. Transparency and Advertising Disclosures
Digital eSource strives to present information on the Site in a truthful, non-deceptive, and commercially reasonable manner consistent with applicable federal and state consumer protection laws, including guidance issued by the Federal Trade Commission (FTC).
Any references to services, results, case studies, examples, or potential outcomes are provided for illustrative purposes only and do not constitute guarantees, promises, or assurances of performance or results. Individual results may vary materially based on a client's industry, market, competition, budget, and other factors outside Digital eSource's control, and any results described on the Site represent individual client outcomes that are not necessarily typical.
Testimonials, reviews, or endorsements, if present, reflect the individual experiences and opinions of those providing them and may not be representative of all clients or users. Results may vary. Nothing on the Site shall be construed as a solicitation, offer, or promise in violation of applicable advertising or consumer protection laws.
